Terms of Service

Please read this before you join.

Effective August 27, 2026. Version 2026-08-27. You must review and agree during sign-up. If you don’t agree, don’t use OutWith.

1. Agreement

These Terms of Service (“Terms”) are a legally binding agreement between you and OutWith, the service operated at out-with.com (“OutWith,” “we,” “us”). They apply when you join the waitlist, create an account, post or apply to an experience, chat, rate, report, or otherwise use the app or website.

By checking “I have read and agree” during sign-up, you confirm that you have read these Terms and the Privacy Policy, that you understand them, and that you accept them. If you do not agree, do not create an account or use OutWith.

We may update these Terms. The version date at the top is controlling. Continued use after a change is posted means you accept the new Terms. Material changes will be flagged at sign-in when we can.

2. What OutWith is — and is not

OutWith is software that lets people propose real-world experiences and find others who want to do them. Intents include friends, business networking, dating, open to any, and combinations of those. Couples and families may post or apply where the listing allows it.

We provide the platform. We are not a party to your experiences. We are not a booking agent, travel agency, restaurant, ticket seller, payment processor, escrow, employer, or transportation service. Arrangements you make with other members are between you and them.

3. Eligibility

You must be 18 years of age or older. You confirm this at sign-up. Unaccompanied minors are not allowed on OutWith.

You must use your own account. Do not impersonate anyone, create a fake profile, or operate an account for someone who is banned.

Access is by city. Joining the waitlist does not guarantee an invite. We may invite by city or by individual email, and we may refuse, delay, or revoke access.

4. Your account and profile

You are responsible for activity on your account. Keep sign-in details in your control.

Profile questions are optional except a name, your city, confirming you are 18, and agreeing to these Terms. You choose how much to share. More detail usually means more experiences; that is an invitation, not a requirement.

Photos: you may upload a profile photo and up to ten other photos. You represent that you have the right to post them. Do not post sexual content, other people’s images without permission, or anything illegal.

If you post photos of children, that choice is yours. We warn you because images can be copied. Share only gender, age, and interests of kids if you want to — nothing more is required. You are responsible for what you disclose about your family.

5. Experiences, cost, and matching

A host posts an experience: what it is, when, where, who it is open to, group size, and a cost disclosure — My Treat, Your Treat, 50/50, Free, or a stated amount. Cost tags are disclosures between members, not invoices from OutWith.

Applying shares your profile with the host. Either of you may pass at any time before lock. Chat opens after mutual interest. Both must approve before you can lock a date, time, and place. Once locked, that listing is no longer offered to others (subject to group size on multi-guest experiences).

Keep coordination in the app so there is a record for safety, ratings, and disputes. We discourage sharing phone numbers or moving off-platform before you have locked a public experience.

6. No guarantee of show-up or payment

OUTWITH DOES NOT GUARANTEE THAT ANYONE WILL ATTEND AN EXPERIENCE, BEHAVE AS DESCRIBED, OR PAY AS THE COST TAG STATES.

We do not collect, hold, or escrow money for experiences. If someone does not show or does not pay, that is a matter between members. Your remedies on OutWith are reporting, ratings, disputes, and our enforcement tools. Those tools are not a warranty, insurance policy, or promise of reimbursement.

You agree you will not hold OutWith responsible for a no-show, a cancelled experience, a bad meal, a missed concert, unpaid splits, or any loss arising from meeting or not meeting another member.

7. Safety

Meeting strangers involves risk. You use OutWith at your own risk.

Meet in public for first meetings. Tell someone you trust where you are going. Leave if you feel unsafe.

You confirm you are 18 at sign-up. Photos are reviewed by a person before they go live. A verified badge means two selfies were approved (face, then three fingers). Couples may link accounts. We do not require a phone number, a liveness check, or government ID today. Verification reduces impersonation. It is not a background check and it does not mean someone is safe, honest, or who they claim to be. We do not run criminal background checks on every member.

GPS check-in is optional and only for a locked experience. We may store a meeting pin and whether you were near it. That record can be used in a Reliability dispute. A live share link you create for a trusted contact expires in 12 hours and is not shown to the other member as a live map.

If there is an emergency or a crime, contact local law enforcement first, then report in the app.

8. Families, couples, and children

Experiences that include children must be posted by a verified adult and may not carry dating intent.

Couples each have their own profile. They may share settings. Soft couple verification is optional and may show a badge only if both people choose it.

A couple member may apply as an individual to an individual listing if their settings allow individual, couple, and family activities. Hosts still decide whom to accept.

You decide what to share about kids. We do not require children’s photos.

9. What you may not do

You will not: harass, threaten, stalk, or scam anyone; post sexual or pornographic content; solicit sex as the experience; post illegal activity; spam; scrape the service; circumvent bans; or use OutWith to advertise unrelated businesses except as a genuine business-networking experience.

Any form of prostitution — including offering, soliciting, or arranging a commercial sex act — is prohibited. It is subject to the consequences of Utah and federal law. We will remove the account and may report it to law enforcement. OutWith is for social experiences between consenting adults, not a marketplace for sex.

We may remove content, suspend accounts, or refuse listings that break these rules or that we reasonably believe create safety, legal, or trust risk.

10. Ratings

Members have four scores, shown separately on a 1–10 scale: Host, Guest, Reliability, and Activity. There is no combined “trust” number.

Host and Guest update from post-experience ratings. Activity rises when you sign in, apply, and post, and falls if you go idle. After 30 days with no hosting or no joining, that role score can drop to 0 so others can see it. New members have a 14-day floor so the first weeks are not harsh.

Reliability starts high. Verified no-shows and not paying as agreed each subtract 2. An experience not as offered subtracts 1. Completing as agreed can add 1 (slow repair). The first Reliability hit will not go below 3; repeats can go to 1.

Host/Guest scores may update as soon as you rate. Reliability does not move on one person’s word when answers conflict.

11. Disputes

After an experience is locked, both people are asked to rate: whether they showed, whether the other person showed, whether it was as agreed, and whether payment matched the cost tag.

If both answers match, Reliability can settle automatically. If only one person rates, that rating may stand after 48 hours. If the answers conflict, Reliability is frozen and a dispute is opened.

Admins review the in-app record — chat, lock details, cost tag, and both forms — and may: apply the claim, treat it as a false report, or make no Reliability change. You get one appeal within 7 days of a decision. After that, the decision is final as to OutWith scores.

We do not mediate who owes a dollar amount, refund Venmo, or act as a small-claims court. Harassment, threats, and fake-profile reports are a separate track and may result in immediate suspension.

12. Reports and enforcement

You can report no-show, non-pay, harassment, a fake or misleading profile, or something else. We review reports. We may warn, restrict posting, lower Reliability after a verified incident, suspend, or remove an account or listing.

False reports can lower the reporter’s Reliability. We may keep records needed to enforce these Terms.

You agree that our scoring, moderation, and access decisions are discretionary business judgments, not a guarantee of any outcome.

13. Privacy

Our Privacy Policy describes what we collect (account, profile, waitlist email and city, chat, applications, ratings, reports) and why. Chat stays on OutWith so Reliability and disputes have a record.

Do not post other people’s private information. Do not share a child’s full name, school, or exact home address.

14. Your content and our software

You keep ownership of the photos and text you post. You grant OutWith a worldwide, non-exclusive license to host, display, and use that content to operate and improve the service, including showing it to members who match or apply.

OutWith, the overlapping-rings mark, and the site design are ours. You may not copy the product, scrape members, or reuse our brand.

15. Disclaimers

OUTWITH IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that listings are accurate, that members are who they say they are, that the app will be uninterrupted, or that any experience will take place or be enjoyable.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUTWITH AND ITS OPERATORS, OFFICERS, AND CONTRACTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST TICKETS, UNPAID BILLS, PERSONAL INJURY, OR EMOTIONAL DISTRESS ARISING FROM YOUR USE OF THE SERVICE OR FROM MEETING OTHER MEMBERS.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID OUTWITH, IF ANY, IN THE THREE MONTHS BEFORE THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50).

Some states do not allow certain limitations. In those states, our liability is limited to the fullest extent allowed.

17. Indemnity

You will defend and indemnify OutWith against claims arising from your content, your experiences, your conduct with other members, or your breach of these Terms.

18. Termination

You may stop using OutWith at any time. We may suspend or close an account, take down a listing, or withdraw a city invite at any time, including for safety, Terms violations, or operational reasons.

Sections that should survive (including 6, 15–17, 19) survive termination.

19. Governing law

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law rules. You agree that courts in Utah have exclusive jurisdiction, except that we may seek injunctive relief anywhere.

You and OutWith agree to try to resolve disputes informally first. Nothing here limits your right to report a crime to law enforcement.

20. Contact

Questions about these Terms: use in-app reporting, the waitlist email you used to sign up, or the contact posted on out-with.com.
